These terms cover a one-time payment and access to the Configurator and do not authorize any recurring charges. The Configurator shall be made available to you immediately after successful submission of a payment by means of the form below. IPCopper's sole obligation shall be to make the Configurator available to you, regardless of whether you make use of the Configurator or not. It is solely your responsiblity to ensure the compatibility of your computer hardware with LateralAccessDevice. NO REFUNDS. Payments are not refundable. This payment shall be deemed earned upon receipt by IPCopper, Inc. WARRANTY. Access to the configurator is provided on an AS IS and WHERE IS basis, with no warranty expressed or implied. CONTROLLING LAW, SEVERABILITY AND VENUE FOR DISPUTES. This payment shall be governed by and construed in accordance with the laws of the State of Oregon. Should any provision of these payment terms or portion thereof be deemed unenforceable, it shall not invalidate the remaining provisions. The forum and the venue for any disputes and claims, including but not limited to libel and confidentiality claims, arising out of this payment or any sales agreement and/or related to any transactions between IPCopper and you shall be, at IPCopper's sole and exclusive option, in Multnomah County, Oregon and/or federal district of Oregon or one wherein IPCopper has established a physical location or assets. Notwithstanding anything in these terms, you expressly agree not to file any claims in any jurisdiction other than specifically agreed herein. By submitting this payment you expressly confirm that you have read, understand and agree to be bound by these Terms, the Addendum of General Terms (available at http://www.lateralaccessdevice.com/terms_addendum.htm), the License and Licensing Terms (available at http://www.lateralaccessdevice.com/terms_license.htm) and the LPN Membership Agreement (available at http://www.lateralaccessdevice.com/terms_member.htm) which are incorporated in full herein by reference.
